Terms of Use

These terms and conditions of use (the "Terms") set forth the agreement between you and S. E. Ven Fund, Inc. (“Seven”) governing your use of this site www.sevenfund.org (the "Site"). By using the Site, you agree to be bound by the Terms. You shall also be subject to any additional terms posted with respect to individual sections of the Site. Please also review our Privacy Policy, which also governs your use of the Site, to understand our practices. If you do not agree, please discontinue using the Site. The Terms were last updated on November 19th, 2008.

Registration

Certain functionalities of this Site are accessible only upon your registration with us. Upon completing the registration process, you may receive a user name and a password. You are responsible for maintaining the confidentiality of any such password and user name, and you are fully responsible for all activities that occur under your password or user name. You agree to immediately notify Seven of any unauthorized use of your password or user name and defend, indemnify, and hold harmless Seven from any loss or damage arising from unauthorized use of your password or user name. By registering, you consent to our collection of your data by Seven and processing such data in connection with your use of the Site.

Intellectual Property

The Site is owned by Seven. All of the content featured or displayed on the Site, including, but not limited to, still images, text, pictorial works, brochures, articles, papers, descriptive or instructional materials, video images, still images of video, graphic designs, User Content (as defined below) audio recordings and computer programs, including web-based programs ("Content") is owned or licensed by Seven.

Advertisements for third-party entities are not considered Content for the purposes of this Section. However, these advertisements are owned or licensed by their respective third-party entities and are subject to protections similar to those set forth in these Terms.

Pursuant to the copyright and trademark laws of the United States:

1. Seven hereby grants a limited license to users of the Site to reproduce, download, and distribute Content to the extent that such activities are in furtherance of promoting enterprise-based solutions to poverty, are for educational purposes or are for personal and noncommercial use. Seven retains all other rights it may have in and to the Content, and in the event such reproduction and distribution of the Content is contrary to the above purposes, Seven reserves the right to terminate such limited license at any time with regard to all or any part or any use of the Content.

2. You agree to maintain any and all copyright or other proprietary notices attached to any Content.

3. By uploading material, posting comments, participating in any competition, or providing other content in any form or media to the Site or to Seven ("User Content"), you grant Seven a royalty-free, worldwide, perpetual license to display, distribute, reproduce, sublicense, and create derivatives of the User Content, in whole or in part, without further review or participation from you.

4. Notice of claimed copyright infringement on the Site should be sent to us at Social Equity Venture Fund, Inc., 1770 Massachusetts Avenue, Cambridge, MA 02140.

Liability

The Site and all material and information posted on it is provided to you "as is" without any warranties. You agree that you must evaluate and bear all risks associated with use of the Site, including those risks associated with reliance on the accuracy, thoroughness, or utility of any

If you are dissatisfied with any materials contained in the Site your sole and exclusive remedy is to discontinue accessing and using the Site.

SEVEN EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND WITH RESPECT TO ALL CONTENT PRESENT ON THIS SITE INCLUDING BUT NOT LIMITED TO ITS ACCURACY, TRUTH OR COMPLETNENESS OF ANY INFORMATION AS WELL AS ALL WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL SEVEN, ITS AFFILIATED ENTITIES OR PARTNERS, OR THE DIRECTORS, OFFICERS, EMPLOYEES, MEMBERS OR OTHER REPRESENTATIVES OF EACH OF THEM BE LIABLE FOR ANY CONTENT AVAILABLE ON OR THROUGH THIS SITE.
Seven reserves the right to delete, move, or edit any User Content that comes to its attention that Seven considers in its sole discretion to be unacceptable or inappropriate. Conduct by any user that restricts or inhibits any other user from using or enjoying the Site will not be permitted. Seven reserves the right to refuse access to the Site to any user for any reason, in its sole discretion. By using the Site, you represent and warrant that you are 13 years of age or older.  Your account may be terminated without warning, if we believe that you are under 13 years of age.
The Site may provide links to other sites or resources. Seven has no control over such sites and resources and you agree that Seven is not responsible for such external sites or resources and is not liable for any content or materials available from such sites or resources.

User Conduct

Seven neither endorses nor guarantees the accuracy of any User Content. Seven may review User Content from time to time and may take steps to remove User Content that it deems inappropriate; however, it engages in no routine monitoring of the Site and Seven cannot guarantee that inaccurate or inappropriate material will not be posted.

Indemnification

You agree to indemnify, defend, and hold harmless Seven, its affiliates and partners, and their respective officers, directors, employees, agents, members, licensors, representatives, and third party providers to the Site from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms.

Miscellaneous

Any and all disputes, with the exception of copyright claims, arising out of, under or in connection with this agreement, including without limitation, its validity, interpretation, performance, or breach, shall be settled by final and binding arbitration in Boston, Massachusetts, pursuant to the rules of the American Arbitration Association. This agreement, its validity and effect, shall be interpreted under and governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws provisions, and you agree that the arbitrators shall award all costs of arbitration, including reasonable attorneys' fees plus legal rate-of-interest, to the successful party. Copyright claims shall be brought in the Federal court having jurisdiction.

These Terms and any other operating rules or terms currently posted on the Site constitute the entire agreement between Seven and the users of the Site, and supersede all previous written or oral agreements between the parties with respect to such subject matter. No action of Seven may be construed as a waiver of any part of these Terms. Should any of the above paragraphs be unenforceable, the other paragraphs will remain in full force and effect.
